EQUIPMENT LEASE AND MONITORING AGREEMENT (36-Month Term)

Effective Date: Upon online order confirmation.

Lessor: ALICE Gunshot Detection Solutions, LLC, a Georgia Limited Liability Company (“Lessor”).

Lessee: The individual or entity completing the online order (“Lessee”).

Equipment: ALICE360 EVO ProView gunshot detection and monitoring system (“Equipment”).

By proceeding with your order, you (“Lessee”) acknowledge and agree to the following terms:

1. Lease and Term

  • The Equipment is leased for a fixed thirty-six (36) month term starting on the shipment date.
  • Lessee agrees to pay $89 per month per unit, which includes both equipment lease and 24/7 monitoring service.
  • The lease is non-cancellable during the 36-month term, except as otherwise stated below.

2. Payments

  • Payments are automatically charged monthly to the payment method provided during checkout.
  • Payments not received within ten (10) days of the due date may incur a late fee of 5% or $50, whichever is greater, plus 1.5% monthly interest.
  • All applicable taxes or fees are the responsibility of the Lessee.

3. Monitoring Services

  • The Equipment includes 24/7 active monitoring through ALICE’s secure Notification Center.
  • The system requires a reliable internet connection provided by Lessee.
  • When a gunshot or critical event is detected:
    1. The device captures image(s) and data.
    2. It transmits the event to ALICE’s monitoring system.
    3. Authorities and up to ten (10) contacts designated by Lessee are automatically notified.

Lessor is not responsible for missed alerts or failures caused by internet, power, or user network interruptions.

4. Lessee Responsibilities

  • Maintain a continuous and stable internet connection at each installation site.
  • Keep the Equipment in good condition and follow installation and operation instructions.
  • Use the Equipment only for lawful purposes and in compliance with local, state, and federal regulations.

5. Return or Renewal

  • At the end of the 36-month term, Lessee must either:
    • Return the Equipment in good working condition within ten (10) days, or
    • Renew or upgrade under a new agreement.
  • Failure to return any device or returning it damaged (beyond normal wear) incurs a $500 replacement fee per unit.

6. Data, Privacy, and Authorization

  • Lessee authorizes ALICE to capture, transmit, and store images or data during security events.
  • Data may be shared with law enforcement or authorized personnel when necessary.
  • ALICE is not liable for any claims related to the capture, storage, or transmission of such data.

7. Termination and Default

  • Early termination by Lessee (except if the equipment becomes illegal under law) constitutes default, making all remaining payments for the term immediately due.
  • ALICE may terminate this agreement if payments are missed or terms are breached.

8. Limitation of Liability

  • ALICE shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or use.
  • ALICE’s total liability is limited to the total payments made under this Agreement.

9. Arbitration and Governing Law

  • Any dispute arising under this Agreement will be resolved through binding arbitration in Cherokee County, Georgia, administered by the American Arbitration Association (AAA).
  • This Agreement is governed by the laws of the State of Georgia.

10. Acknowledgment

By completing your order, you confirm that you have read, understood, and agree to this 36-Month Equipment Lease and Monitoring Agreement.
